Please read these Terms of Service ("Terms") carefully before using Mosaic ("Service"), operated by Hone Studio LLC ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
By creating an account, accessing the Service, or otherwise using Mosaic, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Mosaic is a brand operating system that aggregates, normalizes, and displays data from third-party platforms including but not limited to Amazon, Shopify, Google Ads, and Meta Ads. The Service provides dashboards, analytics, AI-generated insights, inventory monitoring, and alerting functionality.
Mosaic is a software-as-a-service product. We do not provide financial, legal, investment, or advertising advice. All insights and recommendations generated by the Service are informational only.
3.1 Registration. You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
3.2 Authorized Users. Your subscription grants access to a defined number of seats. You are responsible for ensuring that all users under your account comply with these Terms.
3.3 Account Security. You agree to notify us immediately at [email protected] if you become aware of any unauthorized access to your account.
3.4 Account Suspension. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or cause harm to the Service or other users.
4.1 Authorization. When you connect third-party platforms (e.g., Amazon, Shopify, Google Ads) to the Service, you authorize us to access and retrieve data from those platforms on your behalf using the credentials and permissions you provide.
4.2 Third-Party Terms. Your use of connected platforms remains subject to those platforms' own terms of service. We are not responsible for changes to third-party APIs, data availability, or platform policies that affect the Service.
4.3 Data Accuracy. We retrieve data as provided by connected platforms. We do not guarantee the accuracy, completeness, or timeliness of data sourced from third parties.
4.4 Credential Security. OAuth tokens and credentials used to connect third-party services are stored encrypted. You may revoke access at any time by disconnecting integrations within the Service or through the relevant third-party platform.
You agree not to:
6.1 Fees. Access to the Service requires a paid subscription. Fees are described on our pricing page and are subject to change with 30 days' notice.
6.2 Billing. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.
6.3 Taxes. You are responsible for all applicable taxes. We will charge tax where required by law.
6.4 Downgrades and Cancellations. You may cancel your subscription at any time. Access continues until the end of the current billing period. We do not provide prorated refunds for unused time.
6.5 Failed Payments. If payment fails, we may suspend access to the Service until payment is resolved. Accounts with sustained non-payment may be terminated and data deleted.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.1 Our IP. The Service, including its software, design, content, and trademarks, is owned by Hone Studio LLC and protected by intellectual property laws. These Terms do not grant you any rights to our IP except the limited license to use the Service as described herein.
8.2 Your Data. You retain ownership of all data you provide to or generate through the Service ("Customer Data"). You grant us a limited, non-exclusive license to use Customer Data solely to provide and improve the Service.
8.3 Feedback. Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation.
Each party agrees to keep the other's non-public information confidential and to use it only for purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY DATA OR INSIGHTS PROVIDED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HONE STUDIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Hone Studio LLC and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you submit to the Service.
These Terms remain in effect while you use the Service. We may terminate or suspend your access at any time for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 10, 11, 12, and 15 survive termination.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice in the Service. Continued use of the Service after the effective date of changes constitutes acceptance.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Chicago, Illinois, except that either party may seek injunctive relief in any court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hone Studio LLC regarding the Service.
16.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
16.3 Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver.
16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
16.5 Force Majeure. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
